By accessing or using Centra, you agree to these Terms of Service. If you do not agree, do not use the platform.
Centra is a SaaS platform that helps e-commerce brands manage their TikTok Shop affiliate creator programs. Features include creator roster management, content review and approval workflows, performance analytics, and payout tracking.
You are responsible for maintaining the security of your account credentials. You must provide accurate information when registering. One organization per account. You may not share account access with unauthorized parties.
Centra offers paid subscription plans billed monthly in US dollars. Subscription payments are processed by Stripe. Subscriptions renew automatically unless cancelled. You may cancel at any time; your access continues until the end of the paid billing period. Except where required by law, subscription fees are non-refundable, including for partial months.
Centra never holds, controls, or takes custody of your funds. Centra records what each creator is owed and, at your instruction, facilitates payment. It does not act as a bank, escrow, money transmitter, or payment processor, and it never advances or lends money.
Track mode. Centra only calculates and records amounts owed. You pay creators yourself through your own bank, e-wallet, or a payment file you export. Money never passes through Centra.
Managed payouts. Payouts are made from a connected account you own and fund with our payment partner, Airwallex. Funds remain yours and move only when you instruct a payout. Centra issues the instruction on your behalf; it never funds a payout from its own money. Onboarding, verification (KYC/KYB), and the movement of funds are performed by Airwallex under its own terms.
Amounts, holds, and refunds of commissions. Commission accrues to a creator when a sale is attributed and becomes payable only after the applicable return window closes, so that refunded or cancelled orders are removed before payment. You are solely responsible for the accuracy of the rates, fees, and bonuses you set and for actually paying the amounts you owe your creators. Centra does not guarantee, insure, or backstop any creator payment. Payments sent to a creator are between you and the creator; Centra does not reverse completed transfers.
Fees, currency, and taxes. Centra performs no currency conversion; amounts are shown and paid in the currency your connected store operates in. You are responsible for any transfer fees charged by the payment partner and for all taxes, withholding, and reporting obligations arising from payments you make to creators. Any Centra service fee on managed settlements, where applicable, is disclosed before you pay.
You may not use Centra to violate any laws, infringe on intellectual property rights, transmit malicious code, or engage in any activity that disrupts the platform. We reserve the right to suspend accounts that violate these terms.
You retain ownership of content submitted through Centra. By using the platform, you grant Centra a limited license to store and display your content solely for the purpose of providing the service. You are responsible for ensuring you have the rights to any content you submit.
Centra integrates with TikTok Shop, Shopify, Stripe (subscription billing), Airwallex (managed payouts), and other third-party services. Your use of those services is governed by their respective terms. Centra is not responsible for the availability, decisions, or accuracy of third-party data or for actions taken by those providers, including verification outcomes and fund transfers.
Centra is provided "as is." We are not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the amount you paid us in the 3 months preceding the claim.
Either party may terminate at any time. Upon termination, your access ends and your data will be retained for 30 days before deletion, during which you may request an export.
These Terms and any dispute arising from them or from your use of Centra are governed by the laws of Singapore, without regard to conflict-of-law rules. You agree to resolve disputes on an individual basis before the courts of Singapore. If any provision is found unenforceable, the rest remain in effect. These Terms are the entire agreement between you and Centra regarding the service and supersede any prior understanding.
We may update these Terms as the service evolves. Material changes will be reflected in the effective date above and, where significant, communicated by email or in the app. Continuing to use Centra after an update means you accept the revised Terms.
